Berkery, Noyes & Co. represents Conceptis Technologies Inc. in its sale to WebMD Health.

NEW YORK, December 2, 2005 -- Extending its leadership in mergers and acquisitions among online healthcare information providers, Berkery, Noyes & Co., LLC represented Conceptis Technologies Inc., and its flagship cardiology portal www.theheart.org, in its sale to WebMD Health.

Conceptis, based in Montreal, is a leading provider of online and offline medical education and promotion aimed at physicians and other healthcare professionals. The Company is best known for its pioneering, Internet-based “digital communities” that serve healthcare professionals in key medical specialties, including: theheart.org, jointandbone.org and thekidney.org. In addition to news and research, the communities provide continuing medical education (CME), physician education, research extracts, and online forums.

“Conceptis’ focus on cardiology, nephrology, and rheumatology, in combination with WebMD’s robust product offering, creates the number-one online destinations for physicians in these three medical specialties,” said Roger Simard, CEO of Conceptis. Berkery, Noyes & Co., LLC initiated the transaction on behalf of Conceptis Technologies, acted as its financial advisor, and represented it in negotiations with WebMD Health. WebMD Health paid US$19 million in an all cash transaction.
