Generalist

The Berkery Noyes Generalist Group works with companies whose markets, financial structure or transaction needs present unique challenges or opportunities. Examples include corporate divestitures, asset sales, ESOPs, and companies that operate in markets outside the traditional information sectors.

Among the transactions involving closely-held, family-controlled businesses successfully orchestrated by this group are the sales of Cliff Notes, Corptech, Dearborn, Echo Marketing, JIST, Voyageur Press and Roxbury, among others.

Examples of divestiture works in non-traditional segments include the asset management group, the BJ Group, along with an associated newsletter, “No-Load Fund Investor.” Berkery Noyes managed the sale of the Standex Consumer Group, comprised of a direct marketer of consumer products, a retail chain and a publishing company, in three distinct transactions.

Berkery Noyes is expert at meeting the unique needs of clients with relatively complicated ownership structures. Of particular note is Traulsen, a family-controlled commercial refrigeration company with a significant minority ESOP ownership, which we represented in its sale to Primark, now owned by ITW.
